Referral Program Terms & Conditions

1. Program Overview

The BaxCloud Referral Program ("Program") allows registered BaxCloud users ("Referrers") to earn commissions by referring new customers ("Referred Users") to BaxCloud. By participating in the Program, you agree to be bound by these terms and conditions.

2. Eligibility

To participate in the Program, you must:

• Have an active BaxCloud account in good standing
• Be at least 18 years of age or the age of majority in your jurisdiction
• Not be an employee or contractor of BaxCloud
• Comply with all applicable laws and regulations in your jurisdiction

BaxCloud reserves the right to approve or deny any referral program participation at its sole discretion.

3. Referral Process

Referrers are provided with unique referral codes and links through their BaxCloud dashboard. A valid referral occurs when:

• A new user clicks a referral link or enters a referral code during registration
• The referred user creates a new BaxCloud account (existing users are not eligible)
• The referred user subscribes to a paid plan and makes a qualifying payment

Referral tracking uses cookies with a duration as specified in your referral dashboard. If the cookie expires before the referred user registers, the referral may not be credited.

4. Commission Structure

Referrers earn a percentage-based commission on qualifying payments made by their referred users. The commission rate, type (one-time or recurring), and any applicable tiers are displayed in your referral dashboard and may be updated by BaxCloud from time to time.

Key details:

• Commissions are calculated on the net payment amount (excluding taxes and fees)
• Commissions are earned only on successful, non-refunded payments
• If a referred user receives a refund, the corresponding commission will be reversed
• Commission lifetime (if applicable) determines how long after the referral you continue to earn commissions on that user's payments

5. Payouts

Commissions accumulate in your referral balance. Payouts are subject to the following conditions:

• A minimum payout threshold must be reached before requesting a payout (as shown in your dashboard)
• Payouts are processed through the available payout methods (e.g., bank transfer, PayPal)
• Payout processing times may vary depending on the method selected
• You are responsible for providing accurate payout information
• BaxCloud reserves the right to withhold payouts if fraud or abuse is suspected

Referrers are solely responsible for reporting and paying any applicable taxes on referral income. BaxCloud does not withhold taxes on commission payments.

6. Prohibited Activities

The following activities are strictly prohibited and may result in immediate removal from the Program:

• Self-referrals or referring accounts you own or control
• Creating fake or fraudulent accounts to generate referral commissions
• Using spam, unsolicited emails, or deceptive marketing practices to promote referral links
• Bidding on BaxCloud brand keywords in paid advertising campaigns
• Misrepresenting BaxCloud services, pricing, or features
• Using the referral link in any way that violates applicable laws or regulations
• Cookie stuffing, click fraud, or any form of artificial referral manipulation
• Offering cashback, rebates, or other incentives to referred users funded by commission earnings

7. Referral Link Usage

When promoting BaxCloud through your referral link, you must:

• Clearly disclose that you may earn a commission for referrals
• Not make false or misleading claims about BaxCloud services
• Not use BaxCloud trademarks or branding without prior written permission
• Comply with all applicable advertising and marketing regulations, including FTC disclosure guidelines

8. Program Modifications & Termination

BaxCloud reserves the right to:

• Modify commission rates, cookie duration, minimum payout amounts, or other program parameters at any time
• Suspend or terminate the Program or any individual's participation at any time, with or without cause
• Reverse or withhold commissions earned through prohibited activities or policy violations

If the Program is terminated, earned and unpaid commissions above the minimum payout threshold will be paid out within 60 days, provided no policy violations have occurred.

9. Relationship

Participation in the Program does not create an employment, partnership, joint venture, or agency relationship between you and BaxCloud. Referrers are independent parties and have no authority to make commitments or representations on behalf of BaxCloud.

10. Limitation of Liability

BaxCloud's total liability under this Program shall not exceed the total commissions earned by the Referrer in the twelve (12) months preceding the claim. BaxCloud shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program.

11. Privacy

Referrer information is handled in accordance with the BaxCloud Privacy Policy. Referrers do not have access to personally identifiable information of their referred users beyond what is displayed in the referral dashboard (e.g., signup counts and commission amounts).

12. Governing Law

These terms shall be governed by and construed in accordance with the laws applicable to the BaxCloud Terms of Service. Any disputes arising from or related to the Program shall be resolved in accordance with the dispute resolution procedures in the BaxCloud Terms of Service.
